1. Acceptance of Terms
By creating an account on BuildBio.app (the "Platform"), you ("User", "Member", or "you") agree to be bound by these Terms of Service ("Terms"). BuildBio ("BuildBio," "we," "us," or "our") operates the Platform. BuildBio is operated by Blakeley King as an individual; incorporation is pending. If you do not agree to these Terms, do not access or use the Platform.
You must be at least 18 years of age to create an account. By creating an account, you represent that you meet this requirement.
2. Description of Service
BuildBio is a social platform for modified vehicle owners that allows users to create public digital profiles for their vehicles, document aftermarket modifications, upload photographs, and connect with the automotive community. The Platform generates dynamic QR codes linked to each vehicle profile, enabling third parties to scan and access vehicle build information. BuildBio also facilitates commerce through affiliate purchase links and the BuildShop catalog (collectively, the "Service").
3. Account Registration and Security
3.1 You may register using Google Sign-In, Apple Sign-In, or email and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3.2 You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate.
3.3 BuildBio reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
3.4 One account per person. Creating multiple accounts to circumvent restrictions, earn duplicate revenue share, or manipulate the Platform is prohibited.
4. Membership Tiers and Pricing
4.1 FREE Tier. FREE accounts include one vehicle profile, community browsing, banner ad-supported experience, and access to a locked earnings dashboard displaying potential revenue the member would earn under a paid tier.
4.2 PLUS Tier. PLUS tier memberships are available at the standard monthly rate. PLUS tier members receive ad-free browsing, private messaging, and For Sale listing access. PLUS tier members do not participate in the revenue share program.
4.3 APEX Tier. APEX tier memberships are available at the standard monthly rate. APEX members receive all PLUS tier benefits in addition to two vehicle profiles, My Garage customization, priority For Sale placement, analytics dashboard access, sticker benefit, complimentary BuildBio event entry, Verified Build Badge eligibility, specialty insurance program access, and eligibility for the revenue share program subject to Section 8.
4.4 Limited Founder Membership. During the Limited Founder Membership period, discounted pricing is available to qualifying early members at rates and price lock durations as specified on the Pricing page at the time of purchase. Founder pricing is non-transferable. Price locks expire as specified at purchase, after which accounts automatically convert to then-current standard pricing.
4.5 Tier Availability at Launch. At the time of initial Platform launch, only the FREE tier is available. PLUS and APEX tiers will be made available at a date to be announced by BuildBio, no earlier than six months after initial Platform launch. Users who register during the FREE-only period will be notified of PLUS and APEX tier availability and Founder Pricing windows by email.
4.6 Automatic Renewal. Monthly subscriptions automatically renew each month unless cancelled prior to the renewal date.
4.7 Price Changes. BuildBio reserves the right to modify pricing with 30 days advance notice to affected members. Members with locked Founder Pricing are exempt from price changes during their lock period.
4.8 Minimum Commitment and Billing Cycle. All paid subscriptions bill on the first (1st) of each calendar month. Members who subscribe after the 1st are charged a prorated fee for the remainder of the current month plus their first full calendar month at sign-up. PLUS and APEX subscriptions carry a minimum commitment of the prorated initial period plus one (1) full billing cycle. Cancellations take effect at the end of the paid period. No refunds are issued for the minimum commitment period except as required by law.
4.9 Theme and Digital Goods Purchases. Dashboard themes and similar digital goods are one-time purchases, not subscriptions. Upon purchase, BuildBio grants the purchasing account a permanent, non-transferable license to use the theme for as long as the account remains open. Purchased themes do not expire and are not affected by the end of any limited purchase window. Access to purchased themes ends only if the account is cancelled, terminated, or deleted. Themes are licensed to a single account and may not be transferred, resold, or shared. BuildBio may update, improve, or visually refresh theme assets over time; such updates apply automatically and do not diminish ownership. Certain themes may be offered only during limited purchase windows (for example, 24-hour releases); a purchase window limits when a theme can be bought, never how long it can be used. All theme sales are final; no refunds are issued for digital goods except as required by law. Prices are as displayed at time of purchase and may vary between releases.
5. Vehicle Profiles and User Content
5.1 You retain ownership of all content you submit to the Platform, including vehicle information, modification details, and photographs ("User Content").
5.2 By submitting User Content, you grant BuildBio a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, display, and distribute your User Content in connection with operating and promoting the Platform.
5.3 All vehicle profiles are public by default. You understand that your vehicle build information, photographs, and modification details are accessible to any internet user who visits your profile URL or scans your QR code.
5.4 Accuracy Obligation. You agree to complete the monthly accuracy confirmation when prompted. Submitting false or misleading modification information, particularly on For Sale listings, may result in account suspension and potential legal liability to buyers.
5.5 VIN Submission. Where VIN submission is required, you represent that you have authority to submit the VIN (i.e., you own or are authorized to list the vehicle). BuildBio is not responsible for VIN verification errors.
5.6 Prohibited Content. You may not post content that is defamatory, obscene, harassing, fraudulent, infringing of third-party intellectual property rights, or that violates any applicable law.
6. Dynamic QR Codes
6.1 BuildBio generates a unique dynamic QR code for each vehicle profile. You may download your QR code as a PDF and print it for placement on your vehicle or other materials.
6.2 Your QR code remains active as long as your account is in good standing. BuildBio reserves the right to deactivate QR codes for accounts that violate these Terms or have outstanding payment obligations.
6.3 Vehicle Transfer Protocol. If you sell your vehicle, you may initiate a Vehicle Transfer Protocol through your account settings. The transfer of a vehicle profile to a new owner does not transfer your BuildBio account or any earned revenue share.
7. For Sale Listings
7.1 For Sale listings are governed by the fee schedule displayed at the time of listing creation. Listing fees are non-refundable once the listing is active.
7.2 BuildBio is not a party to any vehicle sale transaction. BuildBio does not guarantee the accuracy of any vehicle listing, the condition of any vehicle, or the performance of any transaction between buyers and sellers.
7.3 Carfax vehicle history reports accessible through the Platform are provided by Carfax, Inc. as an independent service. BuildBio does not warrant the accuracy or completeness of any Carfax report. Prospective buyers are solely responsible for independently verifying vehicle condition before purchase.
7.4 Sellers represent that all information in their For Sale listings is accurate to the best of their knowledge. BuildBio is not liable for discrepancies between listed and actual vehicle condition.
7.5 Messaging between buyers and sellers through the Platform is facilitated by BuildBio but BuildBio is not responsible for the content of such communications or the outcome of any transaction.
8. Revenue Share Program and APEX Member Pricing
8.1 Eligibility and Enrollment. The APEX Revenue-Share Program (the "Program") is available exclusively to accounts subscribed to the APEX membership tier that enroll in the Program and remain in good standing. Enrollment becomes effective immediately; Program earnings begin with the first Qualifying Referred Sale after enrollment. The Program will not be available before the date announced by BuildBio, which shall be no earlier than six (6) months following BuildBio's public launch. BuildBio makes no representation that any earnings are available before that date.
8.2 Definitions. "Referred Sale" means a purchase by a person other than you attributed to you under BuildBio's attribution system. Purchases you make yourself are not Referred Sales and are governed by clauses 8.19 through 8.23. "Monthly Referred Sales" ("MRS") means the aggregate gross sale value of your Referred Sales occurring within a single calendar month (America/Los_Angeles), as recorded in BuildBio's attribution ledger and net of any restatement under 8.13. "Commission" means the affiliate commission actually earned and confirmed by BuildBio from its affiliate-network partners on a Referred Sale. "Qualifying Month" means a calendar month during the entirety of which you were enrolled in the Program and not on an approved pause.
8.3 Attribution. Revenue share is earned only on purchases made through the member's own vehicle profile pages. BuildBio's affiliate tracking technology determines attribution. Attribution disputes are resolved at BuildBio's sole discretion.
8.4 Attribution Windows. For Dream Build wishlist additions, the attribution window is 60 days from the date a visitor adds a product to their Dream Build list from the member's profile. For BuildShop cart additions, the attribution window is 60 days from the cart addition event. Purchases completed after the applicable 60-day window generate revenue retained entirely by BuildBio.
8.5 Exclusions. The following purchases generate no member revenue share regardless of membership tier: purchases made by FREE tier profile visitors; Dream Build purchases completed from any profile; AI-powered recommendation purchases; and purchases made after the applicable attribution window expires.
8.6 Earnings. For each Referred Sale, you earn your Applicable Rate (8.9) multiplied by BuildBio's Commission on that sale. Your rate applies to BuildBio's earned commission, not to the sale price. The Applicable Rate for any Commission is the rate in effect during the calendar month in which the Referred Sale occurred, regardless of when the Commission is confirmed or paid. Earnings accrue and pay out exclusively through the BuildBio Bucks system, which is governed by the separately incorporated BuildBio BB Rewards Program Terms, including its W-9, IRS Form 1099, minimum-payout, and payment-processing provisions. Program earnings are never payable in, and never convert to or from, BB Points.
8.7 Commissions Calculated Pre-Tax, Pre-Shipping. Revenue share commissions are calculated on the pre-tax, pre-shipping sale price of eligible products.
8.8 Payment. Revenue share payments are processed through Stripe Connect. Members must complete Stripe Connect onboarding to receive payments. BuildBio is not responsible for payment delays attributable to Stripe or to incomplete member onboarding. Revenue share earnings below $25.00 will accumulate until the threshold is reached before payment is processed.
8.9 Rate Tiers and Calculation. On the first day of each calendar month, your Applicable Rate for that month is set as follows: BuildBio identifies your three (3) most recent Qualifying Months, takes the two (2) highest MRS values among them, and averages those two values (your "Qualifying Volume"). Your Qualifying Volume maps to the following schedule, where each band includes its lower bound and excludes its upper bound: $0 – $249.99 = 5%; $250 – $749.99 = 10%; $750 – $1,999.99 = 15%; $2,000 – $3,999.99 = 20%; $4,000 – $7,499.99 = 25%; $7,500 or more = 30%. The current schedule is also published on the BuildBio Ambassadors page. Calendar months in which you were enrolled for only part of the month, were paused, or were not enrolled do not count as Qualifying Months and are excluded from every calculation. If fewer than three Qualifying Months exist, the calculation uses the Qualifying Months available; if none exist, the 5% minimum rate applies unless 8.10 applies.
8.10 Introductory Rate. New Program members receive a fixed promotional rate of 10% from enrollment through the end of their third Qualifying Month. The introductory rate is promotional. Beginning with your fourth Qualifying Month, your rate is calculated under 8.9 and may be as low as the permanent 5% minimum. The introductory rate is available once per person, across all accounts and enrollments.
8.11 Minimum Rate. While you are enrolled and in good standing, your Applicable Rate will not fall below 5%, regardless of Qualifying Volume.
8.12 Rate Changes Are Forward-Only. Applicable Rates are set monthly and are never restated after the fact — including in response to refunds, reversals, late-arriving data, or disputes. Corrections are applied prospectively only.
8.13 Refunds and Reversals. If an affiliate network reverses, cancels, or disqualifies a Commission (including due to product returns), (a) the corresponding earnings are deducted from your current or future Program balance, and (b) the associated sale value is removed from the MRS of the month in which the sale occurred for purposes of future rate calculations. Rates already set are unaffected. Transactions BuildBio reasonably identifies as fraudulent or as violating affiliate-network terms are not Referred Sales.
8.14 Pausing Participation. You may pause Program participation up to two (2) times per calendar year. A pause takes effect on the first day of the month following your request, lasts a minimum of one (1) full calendar month and a maximum of three (3) consecutive months, and ends on the first day of a month. No pause extends beyond December 31 of the year in which it begins; any pause in effect at year end terminates automatically and you resume active participation on January 1. A scheduled pause may be extended before its resume date, subject to the same limits, without consuming an additional pause. At least one Qualifying Month must elapse between pauses. A scheduled pause may be revoked before it takes effect. During a pause: (i) you earn no Program compensation whatsoever — one hundred percent (100%) of Commissions on Referred Sales occurring during the pause are retained by BuildBio; (ii) your APEX subscription billing continues unchanged; and (iii) paused months are excluded from rate calculations. Commissions on Referred Sales that occurred before your pause remain yours and pay out on the normal schedule. Pausing the Program does not affect your APEX Member Pricing benefits under clauses 8.19 through 8.23. Upon resumption, your rate is calculated under 8.9 using your most recent Qualifying Months, which has the effect of restoring the rate produced by the two highest of your three full months preceding the pause.
8.15 Compliance, Termination, and Conduct. You must comply with all applicable law, FTC endorsement and disclosure requirements, and the terms of BuildBio's affiliate-network partners when promoting your links or QR codes. Product ratings and reviews on BuildBio are never compensated, and Program participation neither requires nor rewards any rating, review, or endorsement content. BuildBio may terminate your Program participation for cause — including fraud, purchase-and-return schemes, network-terms violations, or abuse — in which case unpaid Program balances are forfeit. Upon voluntary cancellation of APEX membership, earned Commissions from your active months remain payable under the BB Bucks payout terms.
8.16 Program Changes. BuildBio may modify the Program, including the rate schedule, on thirty (30) days' notice. Modifications apply prospectively only and never reduce earnings on Referred Sales that occurred before the modification's effective date.
8.17 No Guarantee. BuildBio makes no representation or guarantee of any level of earnings. Results depend on your activity, your audience, product availability, and affiliate-network terms outside BuildBio's control.
8.17.1 Third-Party Commission Rates Change Without Notice. The commission an affiliate partner pays BuildBio on any given product is set by that partner, not by BuildBio. It varies between partners, brands and product categories, and may be increased, reduced, restructured, suspended or withdrawn at any time, with or without notice to BuildBio and without notice to you. A product carrying a 20% partner commission today may carry a different rate tomorrow, or none at all. Where more than one affiliate partner carries a product, BuildBio selects among them at its sole discretion, taking into account factors that may include commission rate, product availability, price, delivery speed and partner reliability, and may change that selection at any time. Such changes may raise or lower the commission earned on a given product and therefore the amount payable to you. BuildBio does not undertake to route any product to the partner paying the highest commission. BuildBio is not responsible for rate changes, program restructuring, or program termination by any affiliate partner, and does not warrant that any product, brand or category will remain available through the Program or at any particular rate. This clause applies equally to commission terms BuildBio negotiates directly with brands, which are periodically renegotiated and are likewise subject to change.
8.18 Not Employment. Participation in the revenue share program does not create an employment, agency, partnership, or joint venture relationship between BuildBio and any member.
APEX Member Pricing. The following clauses govern benefits on purchases you make for yourself. They are separate from the Revenue-Share Program above and never interact with it.
8.19 Member Pricing Benefits. Active APEX members receive Member Pricing on qualifying purchases they make for themselves through BuildBio: (a) exclusive merchant-issued discount codes, where offered by the merchant; and (b) where no such code applies, a credit of BB Points equal to fifty percent (50%) of the Commission BuildBio actually earns on the purchase. Member Pricing benefits are credited to your account and do not depend on, read, or modify any vehicle profile or modification list.
8.20 Points, Not Cash. Member Pricing credits are BB Points. BB Points are redeemable for merchandise only, have no cash value, are never convertible to cash or to BuildBio Bucks, and are governed by the separately incorporated BuildBio BB Rewards Program Terms.
8.21 Member Pricing Exclusions. Purchases routed through the Amazon Associates program earn no Member Pricing benefit of any kind, per Amazon's program rules. Merchant-specific exclusions may apply and are shown before purchase. Your own purchases never qualify as Referred Sales under this Section 8 and never affect your Revenue-Share rate.
8.22 Member Pricing Reversals. If a purchase is refunded, cancelled, or its commission is reversed by the network, the associated Points credit is reversed. Negative Points balances net against future credits.
8.23 Member Pricing Changes. BuildBio may modify Member Pricing, including the credit percentage and merchant participation, on thirty (30) days' notice, prospectively only.
9. BuildShop
9.1 The BuildShop catalog offers products fulfilled through third-party dropship partners. BuildBio does not manufacture, warehouse, or physically handle any products sold through the BuildShop.
9.2 Product availability, pricing, and descriptions are subject to change without notice. BuildBio makes reasonable efforts to maintain accurate product information but does not warrant that descriptions are error-free.
9.3 All BuildShop sales are final unless the product arrives damaged or materially differs from its description, in which case members should contact support@buildbio.app within 7 days of receipt.
9.4 Financing options provided through Affirm are subject to Affirm's separate terms and conditions. BuildBio is not a lender and is not responsible for Affirm's credit decisions or financing terms.
10. Intellectual Property
10.1 The BuildBio name, logo, platform design, Vehicle Transfer Protocol, and all associated technology are the proprietary intellectual property of BuildBio, held by Blakeley King pending incorporation. Nothing in these Terms grants you any right to use BuildBio's intellectual property except as expressly permitted.
10.2 You agree not to reproduce, copy, scrape, or commercially exploit any content from the Platform without BuildBio's prior written consent.
11. Data and Privacy
BuildBio's collection, use, and sharing of personal information is governed by the BuildBio Privacy Policy, incorporated herein by reference.
12. Account Deletion and Data Retention
12.1 Delete Account. Upon account deletion, your public profile is deactivated and your QR code is deactivated. BuildBio retains anonymized data associated with your account for internal research, platform modeling, and aggregate analytics as permitted by applicable law.
12.2 Total Data Deletion Request. A Total Data Deletion Request is a separate process from account deletion. Upon receipt of a verified Total Data Deletion Request submitted to privacy@buildbio.app, BuildBio will permanently delete all personally identifiable data from its active systems within 45 days and issue a Certificate of Data Deletion to the requesting member.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. BuildBio disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement. BuildBio does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
14. Limitation of Liability
To the maximum extent permitted by applicable law, BuildBio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. BuildBio's total liability to you for any claims arising from these Terms shall not exceed the greater of (a) the amount you paid BuildBio in the 12 months preceding the claim or (b) $100.
15. Indemnification
You agree to indemnify, defend, and hold harmless BuildBio and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your User Content, your violation of these Terms, or your violation of any rights of a third party.
16. Dispute Resolution and Arbitration
16.1 Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
16.2 The arbitration shall be conducted in Los Angeles County, California.
16.3 Class Action Waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration against BuildBio.
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Subject to the arbitration clause, any legal proceedings shall be brought in the state or federal courts located in Ventura County or Los Angeles County, California.
18. Changes to Terms
BuildBio may update these Terms from time to time. Material changes will be communicated by email or in-app notification at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

Three-Layer Content Disclaimer
BuildBio operates a Three-Layer Content Disclaimer framework governing all user-submitted content, affiliate products, and installer recommendations on the Platform:
Layer 1 — Platform-Level (sitewide): All modification listings, product reviews, installation notes, and specifications are user-submitted and have not been verified by BuildBio for accuracy, safety, or fitness for purpose. Users rely on Platform content at their own risk.
Layer 2 — Profile-Level (every vehicle profile page): Modifications listed reflect the vehicle owner's personal build. BuildBio does not verify, endorse, or warrant any modification listed. Before purchasing or installing any modification, consult a certified installer and verify compatibility with your vehicle.
Layer 3 — Transaction-Level (affiliate links and BuildShop checkout): BuildBio may earn a commission on purchases. BuildBio does not manufacture, warehouse, or take responsibility for the quality, fit, or safety of third-party products. All purchases are subject to the seller's terms and return policy.
This Three-Layer framework is incorporated into these Terms and constitutes notice of the Platform's content liability limitations. By using the Platform, you acknowledge and accept all three layers.
